DISTRICT A-1 CONSTITUTION AND
BY LAWS REVISED AND AMENDED APRIL 19th - 2007
THE INTERNATIONAL ASSOCIATION
Section 1: This organization shall be known as District A-1 of The International Association of Lions Clubs, and/or Lions Clubs International, hereinafter referred to as LIONS CLUBS INTERNATIONAL. Section 2a: In this Constitution and By-Laws, this District shall be referred to as District A-1, and Multiple District "A" shall be referred to as District "A". Section 2b: All Articles and By-laws of this Constitution shall remain within the Articles and By-laws of the Constitutions of both LIONS CLUBS INTERNATIONAL AND MULTIPLE DISTRICT "A". Section 3: Wherever the male gender appears in this CONSTITUTION AND BY-LAWS, it shall be interpreted as to mean both male and female. Section 4: Wherever the word chairman appears in this Constitution and By-Laws it shall be interpreted as to mean chairperson ARTICLE II Section 1: To provide an administrative structure with which to advance the Purposes and Objects of LIONS CLUBS INTERNATIONAL IN DISTRICT A-1. ARTICLE III Section 1: The members of this organization shall be all Lions Clubs in District A-1, duly chartered by LIONS CLUBS INTERNATIONAL. The boundary line of District A-1 shall be laid down by the Board of Directors of LIONS CLUBS INTERNATIONAL. ARTICLE IV DISTRICT ORGANIZATION Section 1. Cabinet and Officers The District A-1 Cabinet Officers shall consist of the District Governor, who shall be the presiding officer, the Immediate Past District Governor, the Vice District Governor, the Region Chairmen, the Zone Chairmen, the Cabinet Secretary, the Cabinet Treasurer, (or the Cabinet Secretary/Treasurer). An elected officer of the Cabinet shall be an active member in good standing of a Lions Club in good standing within District A-1, District "A" and LIONS CLUBS INTERNATIONAL. The District Governor, the Vice District Governor, the Region Chairmen, and the Zone Chairmen shall be elected at the District A-1 Convention. The District Governor shall appoint, by the time he takes office, the Cabinet Secretary and the Cabinet Treasurer (or the Cabinet Secretary/Treasurer) Any vacancy in any District A-1 office except that of District Governor, who is an International Officer, shall be filled by appointment by the District Governor for the unexpired term thereof. If any Cabinet Member shall cease to reside within the District, Region, or Zone, as the case may be, to which he/she was appointed or elected, his term of office shall thereupon cease and the District Governor shall appoint a successor to fill said office, unless the District Governor is of the opinion that such officer can continue to satisfactorily perform his duties. The District Governor, with a two-thirds (2/3) majority of all voting members of the Cabinet, shall have the authority to dismiss any elected, acclaimed, or appointed members of Cabinet, for good and sufficient cause. No salary shall be paid to any officer of District A-1. Section 2. District Cabinet Meeting- Regular: A regular meeting of the District A-1 Cabinet shall be held in each quarter of the fiscal year, with the first to be held within sixty (60) days after the adjournment of the preceding International Convention. At least ten (10) days written notice of the meetings, setting forth a date, time, and place determined by the District Governor, shall be given to each member of the Cabinet and the Honourary Committee members by the Cabinet Secretary. - Special: Special meetings of the Cabinet may be called by the District Governor at his discretion, or may be called upon written request made to the District Governor or the Cabinet Secretary by a majority of members of the Cabinet. Not fewer than (5) days notice shall be communicated to the District Officers of special meetings, setting forth the purpose thereof, and a date, time, and place determined by the District Governor. C. Voting Members: The voting members of the Cabinet are: The District Governor, the Immediate Past District Governor, the Vice District Governor, the Region Chairmen, and the Zone Chairmen. All other appointed members of the Cabinet are non-voting members. D. Quorum: The attendance of a majority of the voting members of the Cabinet shall constitute a quorum for the meeting thereof. Section 3. Region and Zones - The District Governor shall divide the District into regions of no more than sixteen (16) and no less then ten (10) Lions clubs and each such region into zones of not more than eight (8) and no less than four (4) Lions clubs, giving due regard to the geographical locations of the clubs. All such regions and zones shall be subject to change by the District Governor, when in his/her sole discretion; he/she shall deem the same necessary to the best interests of the Association. - Regional Meetings: Meetings of the representatives of all Clubs in the Region, with the Region Chairmen presiding, may be held during the fiscal year at times and places fixed by the Region Chairmen of the respective Regions. C. - Zone Meetings: Meetings of the representatives of all Clubs in a Zone, with a Zone Chairman presiding, at a date, time, and place called by the Zone Chairman. This committee shall hold its first meetings within one hundred five (105) days after the adjournment of the preceding International Convention, a second meeting by the end of November, and a third meeting by the end of March. A May meeting or other meetings of the Zone may be held with the approval of the District Governor. Section 4. District Committees - District Governor's Advisory Committee: In each Zone, the Zone Chairman, the President, or designated Vice-President, and the Secretary of each Club within the Zone shall compose a District Governor's Advisory Committee with the Zone Chairman as Chairman. - District Governor's Honourary Committee: This Committee shall be composed of all interested Past International Officers in good standing from any Club in District A-1. This committee shall meet when and as called upon by the District Governor. The Chairman shall be appointed by the District Governor. - The District Governor may appoint such District Chairmen of Committees as may be necessary to fulfil the obligations of District A-1 and LIONS CLUBS INTERNATIONAL. The District A-1 Cabinet Chairmen shall be paid a stipend of $15.00 for his/her attendance at District A-1 Cabinet meetings, to a maximum of 4 meetings. Any other expenses incurred shall be submitted to the District A-1 Cabinet for approval. - All monies received for District Programs will be forwarded to the Cabinet Secretary/Treasurer or Cabinet Treasurer. Specific accounts will be established by the Cabinet and funds will be disbursed for operating expenses under the signing authorities as per ARTICLE V, SECTION 1 .B District Administration Fund. E I). - There shall be a District Finance Committee to be established following the District A-1 Convention and before June 3 0th, which shall consist of the District Governor, the District Governor-Elect, Vice District Governor the Cabinet Treasurer (or the Cabinet Secretary-Treasurer), the Incoming Cabinet Treasurer (or the Incoming Cabinet Secretary-Treasurer), and four appointed members. ii). One of the four appointed members will be replaced each year on a rotating basis by the District Governor with the senior member being replaced. No member shall serve for more than four consecutive years. In the event that a vacancy occurs, the vacancy shall be filled by appointment by the District Governor for the unexpired term thereof. iii).The 3rd year member of the District Finance Committee shall be chairman. iv). This Committee shall be responsible for the preparation of a District Budget which shall be submitted to the District Cabinet for approval at its first meeting. This Committee shall also continually monitor the implementation of the Budget and the general condition of the District Funds throughout the year. ARTICLE V Section 1. Purpose - To provide revenue to defray the administrative expenses of District A-1, an annual per capita tax in an amount to be approved at a District A-1 Convention shall be levied on each Member of the Lions Club and shall be collected on or after the first day of July in each year. The membership of each Club, for this purpose, shall be based on the number of members of each Club on the June Monthly Membership Reports (MMR). Newly-chartered and organized clubs shall collect and pay said per capita tax on a pro-rata basis from the first day of the second month following the date of the organization or reorganization as the case may be. - This fund shall be disbursed by the District A-1 Cabinet, keeping in mind the following aims: The efficiency of the Clubs and the promotion of Lionism. The District Governor and the Cabinet Treasurer (or the Cabinet Secretary/Treasurer) shall be the signing authority for disbursements from a said fund. The statement of account shall be turned over to the Governor's successor each year. Section 2. Distribution of Funds - To provide for tokens of appreciation for the out-going District Officers, District Awards for Efficiency, Inter-Club Visitation, Bulletin Contests, and other such contests that the Cabinet feels will contribute to the efficiency of the Lions Clubs within District A-1. - To purchase stationery for members of the District Cabinet, as budgeted. C. - To cover other expenses deemed necessary by the Cabinet. Section 3. To provide funds to help defray the cost of regalia for each newly-chartered Lions Clubs in the District A-1, a per capita levy in an amount, to be approved by the District A-1 Cabinet, shall be levied on each member of each Lions Club. The assessed amount will be based on the membership of each Club as per its Monthly Membership Report(MMR) for the month previous to the chartering of the new Club(s). Section 4. If there is any change in the levy in ARTICLE V, Section 1-A, such change shall be mailed to the Secretaries of every Club in District A-1 at least sixty (60) days in advance of the Convention where the vote will be held. Section 5. The Cabinet Treasurer (or Cabinet Secretary/Treasurer), the Committee Chairmen, and the Committee Treasurers may be bonded in such amounts and with such Surety Company as shall be approved by the District Governor and the Cabinet and the cost of same shall be an Administrative Expense. Section 6. The District Governor shall provide for an annual or more frequent audit of the books and accounts of the Cabinet Secretary and Cabinet Treasurer, (or Cabinet Secretary/Treasurer), and an annual, written financial statement of District A-1 shall be presented to the Cabinet for its approval at the second regular Cabinet Meeting and then published in the Governor's Newsletter. Section 7. The District Governor and his Cabinet shall prevent any indebtedness beyond the reasonable resources of the District. ARTICLE VI Section 1. An Annual Convention of District A-1 shall be held each year, after March 15 and prior to the date set for Multiple District "A".Section 2. Voting Procedures and Delegates . B I) Each Past and Present Officer of Lions International, who is a member in good standing of a Club in good standing in District A-1 shall be a Voting Delegate at the District A-1 Convention and such Vote shall not be counted as a Vote to which his Club would be otherwise entitled. ii) Such Past and Present Officer of Lions International may be a Voting Delegate of his own Club as provided under Section 4.A of this Article of the Constitution, but he may not then be a delegate by reason of his Past or Present Office. He may be a Delegate in one capacity only. Section 3. ─ The attendance in person of the majority of the delegates registered at a District A-1 Convention shall constitute a quorum at any session of the Convention. Section 4. ─ At the Annual District A-1 Convention, there shall be elected from qualified candidates, (a) a District Governor, (b) a Vice District Governor, c) a Region Chairman for each Region and (d) a Zone Chairman for each Zone. Section 5. ─ The District A-1 Convention may provide forums for Lions, Lioness and Leos. ARTICLE VII DISTRICT CONVENTION FUND Section 1. There shall be a District A-1 Convention Registration fee which shall be set by the District A-1 Cabinet upon recommendations received from the Convention Committee.Section 2. Such registration fee as the District A-1 Cabinet sets shall be collected by the Convention Committee, under procedures set by the District Cabinet for each delegate, alternate, and guest attending the District Convention to defray the cost of the Convention meals and entertainment. All delegates must be registered and certified prior to voting. Section 3. The District Governor shall provide for an annual, or more frequent, audit of the District A-1 Convention Fund. Section 4: All convention’s funds shall be retained as a Convention account in the District Accounts, which shall be allowed to accrue to $3000.00. Any money not needed to maintain the convention account shall be deposited into the District Administration account. ARTICLE VIII Section 1(a) The Vice District Governor within District A-1, seeking the office of District Governor shall file his/her intentions to so run in writing, no earlier than November 1st , and deliver same to the District A-1 Secretary and the District Governor of A-1 prior to, and post marked no later than ninety (90) days before the convening day of the District A-1 convention. Section 1 (b) Any member within District A-1 seeking the office of District Governor shall file his/her intention to so run in writing, no earlier than November 1st and deliver same to the District A-1 Secretary and the District Governor of A-1 prior to, or post marked no later than ninety (90) days before the convening day of the District A-1 Convention. Section 1(c) Any member within District A-1 seeking the office of Vice District Governor or Region Chairman shall file his/her intention to so run, in writing no earlier than November 1st and deliver same to the District A-1 Secretary and District Governor of A-1, prior to, or post marked no later than thirty (30) days before the convening day of the District A-1 Convention. Section 1(d) Any member within District A-1 seeking the office of Zone Chairman shall file his/her intention to so run in writing no earlier than January 1st and deliver same to the District A-1 Secretary and The District Governor of A-1 prior to, or post marked no later than thirty (30) days before the convening day of the District A-1 convention. Section 1(e) All of the above mentioned candidates shall furnish evidence of his/her compliance with the qualifications of said offices as set out in the District "A" Constitution and By-Laws. The nominating and /or Elections Committee shall place in nomination, at the District A-1 Convention, the names of all candidates so qualified. If none are so received and /or qualified, it will then be the responsibility of the District Governor-Elect to fill the vacancy by appointment. Each candidate shall be allowed a total of five (5) minutes covering his/her nomination and acceptance speeches at the Convention if he/she so desires. Section 2 . Elections - The election shall be by secret ballot unless there shall be only one nominee, in which event, a voice vote may be taken. The candidate receiving the plurality number of votes cast shall be declared elected. In the case of a tie on any ballot, balloting shall continue on the tied candidates only until one is elected. - The results of all Convention Elections are to be announced. This announcement will include: I) Total ballots cast in each contest; Number of spoiled ballots; Successful Candidate. Section 3. Acclamation. In the event that only one Vice District Governor in a District qualifies for the position of District Governor he must be elected to the office of District Governor by the delegates at the convention and shall secure a majority of the valid votes cast. Section 3 a) The Vice District Governor election shall be conducted by a secret written ballot, with the Vice District Governor candidate required to secure a majority of the votes cast by the delegates present and voting in order to be declared elected. Section 4 b) For the purpose of such election, a majority is defined as a number more than one-half of the total valid votes cast excluding blanks and abstentions. Section 4.International office A candidate seeking endorsement for the Office of International Director or 2nd International Vice-President shall be qualified as per the International Constitution and By-Laws. The endorsement shall be by secret written ballot. BY-LAW II DUTIES Section 1. District Governor. The District Governor shall act under the general supervision of the International Board of Directors as the representative of Lions Clubs International in this District and shall have general supervision over all Lions Clubs therein. In addition he shall: further the purposes and objects of Lions Club International; supervise organization of new Lions Clubs; promote cordial relation among the chartered Lions Clubs; preside at all Cabinet, Convention and other District meetings; endeavour to visit each club at least once during his/her term in office; exercise such supervision and authority over Cabinet Officers and District Committee appointees as is provided in this Constitution, including, but not by way of limitation, the following: I) supervise the collection of all per capita taxes by the Cabinet Treasurer (or Cabinet Secretary/Treasurer), designate a depository for said funds, and authorize the payment there from of all legitimate expenses pertaining to the administration of the affairs of the District, subject to approval of the District Cabinet; if desirable, secure, set the amount of, and approve the surety company issuing the surety bond for the Cabinet Treasurer (or Cabinet Secretary/Treasurer), and Committee Chairmen and/or Committee Treasurers. secure and review the books and accounts of the Cabinet Secretary and Treasurer, (or Cabinet Secretary/Treasurer) and set up a definite schedule of dates, times and places of Cabinet Meetings to be held during the fiscal year; submit a current itemized statement of the total District receipts and expenditures to the Annual District A-1 Convention; submit such other reports and perform such other duties as may be required by the International Board of Directors; I) deliver forthwith, at the termination of his term of office, all District accounts, funds and records to his successor in office. Section 2. Vice District Governor The Vice District Governor shall be a member of the District Governor's Cabinet and shall: Be responsible to the District Governor for all his actions and act under the supervision of the District Governor. Attend the meetings of the Multiple District "A" Board of Governors and those of the District Governor's Cabinet. Be the Chief Administrative Assistant to the District Governor. Further the Purposes and Objectives of this Association. Familiarize himself with the duties of the District Governor so in the event of a vacancy in the Office of the District Governor he will be better prepared to assume the duties and responsibilities of said Office. Perform such Administrative duties as may be assigned to him by the District Governor. g) Perform such other functions and acts as may be required of him by the International Board of Directors Through the Vice District Governors Manual and other directives. h) Co-operate with and assist the Region Chairmen and Zone Chairmen as required. Section 3. Cabinet Secretary and Cabinet Treasurer ( or Cabinet Secretary/Treasurer) He, under the supervision and direction of the District Governor, shall: keep an accurate record of the proceedings of all meetings of the Cabinet and, within thirty (30) days after each meeting forward copies of the same to District Governor, all members of the District A-1 Cabinet, and the Honourary Committee. Take and keep minutes of the District A-1 Convention and furnish copies of the same to the District Governor, the District A-1 Cabinet, and the Honourary Committee. assist the District Governor and Cabinet in conducting the business of the District, and perform such other duties as are specified or implied in this CONSTITUTION AND BY-LAWS, or as may be assigned to him by the District Governor or by the Cabinet. sign all notices and documents issued by District A-1. make an annual report to the Cabinet at the next meeting immediately preceding the Annual District A-1 Convention, and such reports at others times as the District Governor or Cabinet may require. collect and issue a receipt for all per capita taxes levied hereunder on members and Clubs within District A-1, deposit same in such bank or banks as the District Governor shall determine, and disburse the same by order of the District Governor, subject to approval of the District Cabinet; remit and pay over to the District "A" Council Secretary the District "A" Convention Fund Per Capita Tax, if any, collected in the District, and secure a proper receipt therefore. keep accurate books and records of accounts, and minutes of all Cabinet and District meeting, and permit inspection of the same by the District Governor, any Cabinet Member, and any Club, (or any authorized agent of any of them), at any reasonable time for any proper purpose. Upon the direction of the District Governor or the Cabinet, he shall furnish any such books and records as requested to any auditor appointed by the District Governor. I) secure bond for the faithful performance of his duties and with such sureties as may be required by the District Governor. Section 4. Region Chairman THEY shall: attend the regular and special meetings of the Cabinet; Assist the District Governor in promoting Lionism in his Region by performing such duties as may be delegated to him from time to time by the District Governor; c) endeavour to have every club in his Region operating under a duly adopted Club Constitution and By-Laws; promote representation at International and District Conventions by at least the full quota of delegates to which Clubs in his Region are entitled; supervise and assist the Zone Chairmen of his Region in the performance of their official duties and cooperate with them in arranging and holding Zone Meetings and District Governor's Advisory Committee Meetings. In the event the Region Chairman, for any reason, cannot or does not, in the judgement of the District Governor, perform the duties of his office or in the event the office is for any reason vacated, the District Governor shall appoint a successor to serve for the unexpired term. Section 5. Zone Chairman. Under the control and supervision of the District Governor and his Region Chairman, he shall: make a report of each District Governor's Advisory Committee Meeting, and send copies within ten (10) days thereafter to the office of Lions Clubs International, the District Governor, and Presidents of the Clubs within the Zone; endeavour to have every Club within his Zone operating under a duly-adopted Club Constitution and By-Laws; arrange, with the co-operation of his Region Chairman, regularly scheduled Zone Meetings; encourage Inter-Club meetings and social activities; promote attendance at Charter Nights of newly-organized Clubs; promote representation at International and District Conventions by at least the full quota of delegates to which Clubs in his Zone are entitled; g) shall send written notice to all members of the Zone Advisory Committee within the Zone, advising the Clubs of the upcoming Zone Meeting, the time and place where the meeting will take place. The notice shall include a proposed agenda for the meeting and shall be in the hands of the Club President no later than fifteen (15) days prior to the upcoming Zone Meeting. In the event the Zone Chairman, for any reason, cannot or does not, in the judgement of the District Governor, perform the duties of his office, or in the event the office is for any reason vacated, the District Governor shall appoint a successor to serve the unexpired term. Section 6. District Governor's Cabinet The District Governor's Cabinet shall: assist the District Governor in the performance of his duties and in the formation of administrative plans and policies affecting the welfare of Lionism within District A-1; serve in an advisory and administrative capacity only; c) receive from the Region Chairman, reports and recommendation which concern the Clubs and Zones. Section 7. District Governor's Advisory Committee. It shall assist the Zone Chairman in an advisory capacity, procure recommendations affecting the welfare of Lionism and the Clubs in the Zone, and relay same through the Zone Chairman to the District Governor and his Cabinet. Section 8. District Governor's Honourary Committee. It shall act under the direction on the District Governor in the promotion of harmony throughout the District. The Chairman of this Committee shall attend meetings of the Cabinet when requested by the District Governor. Section 9. Sergeant-At-Arms. The Sergeant-At-Arms shall maintain order and decorum at the respective conventions and meetings and perform such duties as are incident to his office under Robert's Rules of Order Newly Revised. BY-LAW III Section 1: The District Governor shall appoint the Committees deemed necessary for the function of the District.Section 2. All spending Committees appointed by the District Governor shall, on completion of their projects, submit to the District Governor and Cabinet, in writing, a final report including a financial statement to be used for audit purposes. BY-LAW IV Section 1. Except as otherwise specifically provided in this Constitution and By-Laws, or in the Rules of Procedure Adopted for a Meeting, all questions of Order and Procedure in any District meeting of Convention, any meeting of the District Cabinet, a Region, a Zone, or member Club or any group or Committee of any one of them shall be determined by Robert's Rules of Order Newly Revised.BY-LAW V FISCAL YEAR Section 1. The Fiscal Year shall be from July 1st to June 30th inclusive. BY-LAW VI AMENDMENTS Section1. This Constitution may only be amended at a District A-1 Convention, by resolution reported by the District Constitution and By-Laws Committee and adopted by the affirmative vote of a majority of the qualified delegates present in person and voting. Section2. Proposed amendments to the Constitution or proposals for District A-1 projects shall be in writing and in the hands of the Cabinet Secretary not less than sixty (60) days prior to the official opening date of the Annual District A-1 Convention. Section3. No amendments shall be so reported or voted upon unless the same shall have been furnished in writing by the Cabinet Secretary to each Club not less than thirty (30) days prior to the convening date of the Annual A-1 Convention with notice that the same will be voted on at said Convention. Section4. Each amendment shall take effect at the close of the A-1 Convention at which it is adopted, unless otherwise specified in the amendment. Section5. No amendments to the Constitution will be entertained by the Constitution and By-Laws Committee, unless they have been approved by a majority vote of the required quorum of a Club, Zone, Regional, or Cabinet Meeting. BY LAW VII DUES District per capita assessment approved April 8th - 2006: Annual Dues - $9.00 per member Article 1– ATTIRE A: The District Governors Standard Uniform: The standard uniform consist of (Summer Wear) Blazer Blazer White shirt or Blouse White shirt or Blouse Grey Slacks or Skirt White Slacks or Skirt Appropriate tie appropriate tie Dark shoes. White shoes. The Standard uniform is to be worn at all Governors’ cabinet meetings and other functions as appropriate, Including Governor’s visitations and public appearances where coat and tie is appropriate. District A-1 Convention 1 - District Governors and Partners in Service are to wear standard uniform at all cabinet and business meetings, except for the Saturday night banquet when they are to wear white dinner jacket and tuxedos pants or appropriate gown. 2- District Governor-Elect and Partners in Service are to wear suit or plums at the Governor’s cabinet and business meetings. The Governor elect badge is not to be worn until the start of the International Convention. Past District Governor - The official jacket emblem for all Past District Governors shall be their District Governor patch for their year with the Lions logo, as obtained from Lions International in their year as Governor. D: The District Cabinet Standard Uniform The standard uniform consists for District A-1 elected officers excluding the Governor. Plum jacket White shirt or Blouse Grey slacks (skirt) or white when appropriate Appropriate tie Dark shoes or white when appropriate. The Standard uniform is to be worn at all Governors’ cabinet meeting and other functions as appropriate.
